Job Highlights

The Head – Legal leads the organization’s legal, governance, and compliance framework at the corporate level and provides strategic and operational legal oversight to two manufacturing sites. The role serves as principal legal advisor to the Board and senior leadership, ensuring legal risk mitigation, statutory compliance, governance excellence, and effective support to business operations.

Key Responsibilities

Board Matters & Corporate Governance

  • Conduct Board, Committee, and Shareholders’ Meetings in compliance with applicable laws; prepare notices, agendas, explanatory notes, minutes, and resolutions.
  • Advise the Board on legal, regulatory, and governance matters; update on legal and regulatory changes and ensure implementation and follow‑up of Board decisions.
  • Oversee preparation of the Annual Report and lead development and implementation of Board‑level policies, Codes of Conduct, and governance frameworks.
  • Coordinate criminal and sensitive cases relating to Directors with external counsel.

Corporate Legal & Sites Oversight

  • Manage corporate law matters and, where applicable, discharge Company Secretary functions, including statutory records, filings, and corporate documentation.
  • Ensure compliance with the Companies Act and other corporate regulations.
  • Advise plant leadership on applicable laws; support regulatory inspections, audits, notices, queries, and disputes at manufacturing sites.

Contracts, Litigation & Compliance

  • Draft, review, negotiate, and standardize customer, vendor, procurement, service, and strategic agreements; advise business teams on legal and commercial risk mitigation.
  • Manage all litigation (civil, commercial, labour, regulatory, and criminal); coordinate with external counsel and drive resolution strategies.
  • Establish and monitor a legal compliance framework; identify and mitigate legal risks across corporate and plant operations, including support on M&A and restructuring.

Employment & Stakeholder Interface

  • Advise on employment contracts, disciplinary proceedings, inquiries, separations, and lead internal investigations.
  • Draft and respond to critical government and regulatory notices.
  • Interact with and advise the Managing Director, Board Members, local LANXESS Leadership Team, and the global legal organization.​​​​​​​​

Experience / Skills

 

  • Specific Education : LLB / LLM from a recognized university; Company Secretary preferred.
  • Work Experience : > 10 years
  • Special Skills : Strategic & Analytical Skills, Stakeholder & Communication Skills, Leadership & People Management, Governance & Compliance Skills
